I have fixed the issue at my own:

1. you have to go into D:\Program Files (x86)\Ubisoft\Ubisoft Game Launcher

2. there you have to rename the "overlay.dll" file.

3. start SH3. -> Error is gone!

4. rename the "overlay.dll" file back as it was before.

5. Have fun with the game!
