my solution?

W7 ult X64; I7,8GB, P8H67 Mobo (2011 build)
E:\ drive, not C:\ drive
SHIII 1.4 nocd + GWX + resfix

exe= run as admin, run as WinXP SP3
launch game, observe taskmanager = sh3+rundll.exe
wait...
30secs, game launches.
